Terms of Service

1. Information Published on Nuri

The Nuri mobile application and website (hereinafter, referred to as the "Service") provides a self-custodial Bitcoin wallet and related information of a general nature. You are not authorized and nor should you rely on the Service for legal advice, investment advice, or advice of any kind. You act at your own risk in reliance on the contents of the Service. Should you make a decision to act or not act, you should contact appropriate professionals in the relevant jurisdiction. In no way are Cryptocurrency OÜ, Nuri Brand Assets GmbH, or contributors to the Service responsible for your actions, decisions, or other behavior taken or not taken by you in reliance upon the Service.

2. Self-Custodial Nature of the Service

You are solely responsible for the custody of your Bitcoin. Nuri provides a self-custodial wallet, which means:

• You control your private keys
• You are responsible for securing your recovery phrase/seed words
• We cannot recover lost passwords or seed phrases
• We cannot reverse, cancel, or refund transactions
• We do not have access to or control over your funds
• Any transfer of Bitcoin occurs within the decentralized Bitcoin network, not on our Service

3. Card Services - Gnosis Pay Terms

If you choose to apply for and use the Nuri Card:

• You must accept the Gnosis Pay Terms of Use, available at https://legal.gnosispay.com/en/articles/8646490-gnosis-pay-website-terms-of-use
• Card services are provided by Gnosis Pay and their regulated partners
• The card functionality is separate from the self-custodial wallet
• KYC verification is required for card services
• Gnosis Pay's terms govern all card-related services

4. Risks Related to the Use of Bitcoin and the Service

The Service will not be responsible for any losses, damages, or claims arising from:

• (1) User mistakes: Forgotten passwords, lost seed phrases, payments sent to wrong addresses, accidental deletion of wallets, or failure to properly backup recovery information.
• (2) Software issues: Corrupted wallet files, incorrectly constructed transactions, software bugs, malware affecting the Service or your device.
• (3) Hardware failures: Data loss due to faulty or damaged devices, lost or stolen devices containing wallet information.
• (4) Security problems: Unauthorized access to wallets, phishing attacks, social engineering, compromised devices.
• (5) Third-party issues: Exchange failures, service provider bankruptcy, network congestion, protocol changes, forks, or actions by miners.
• (6) Market risks: Bitcoin price volatility, loss of value, regulatory changes affecting Bitcoin.

5. Your Responsibilities

By using the Service, you acknowledge and agree that:

• You are solely responsible for securing your private keys and recovery phrase
• You understand the irreversible nature of Bitcoin transactions
• You will comply with all applicable laws and regulations in your jurisdiction
• You are responsible for any tax obligations related to your Bitcoin transactions
• You will not use the Service for any unlawful or fraudulent purposes
• You are of legal age to enter into this agreement

6. Prohibited Uses

You must not use the Service:

• For any unlawful or fraudulent purpose
• To violate any applicable laws or regulations
• For money laundering or terrorist financing
• To transmit viruses or malicious code
• To interfere with or disrupt the Service
• To infringe upon intellectual property rights
• To harass, abuse, or harm others

7. No Investment Advice

The Service does not provide investment, legal, tax, or financial advice. The information provided is for general informational purposes only. Bitcoin investments can lead to loss of money over short or long periods. Users should expect significant price fluctuations. We cannot guarantee that users will not lose money.

8. Compliance with Tax Obligations

You are solely responsible for determining what, if any, taxes apply to your Bitcoin transactions. Neither Cryptocurrency OÜ nor Nuri Brand Assets GmbH are responsible for determining the taxes that apply to your Bitcoin transactions.

9. The Service Does Not Store Your Bitcoin

The Service does not store, control, or have access to your Bitcoin. Bitcoin exists only by virtue of the ownership record maintained in the Bitcoin network. Any transfer occurs within the decentralized Bitcoin network, not on our Service.

10. No Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CRYPTOCURRENCY OÜ, NURI BRAND ASSETS GMBH, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

• LOSS OF BITCOIN OR OTHER DIGITAL ASSETS
• LOSS OF USE OR PROFITS
• LOSS OF DATA
• BUSINESS INTERRUPTION
• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cryptocurrency OÜ, Nuri Brand Assets GmbH, and their affiliates, officers, directors, employees, and agents from any claims, demands, losses, liabilities, and expenses (including legal fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws

13. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data collection practices.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Service. Your continued use of the Service after any changes indicates your acceptance of the new Terms.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. The self-custodial nature of the wallet means you retain access to your Bitcoin through your private keys.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Estonia.

For card-related disputes, Gnosis Pay's terms and jurisdiction provisions apply.

17. Entire Agreement

These Terms (and for card users, the Gnosis Pay Terms) constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
